1. Introduction

Welcome to Authentic Living. By accepting a quotation, booking or using our services, you agree to these Terms of Service. These Terms explain the responsibilities of both parties and our approach to service delivery, payment, cancellations and refunds.

2. Definitions

• Client: the individual or organisation that accepts a quotation or books services from Authentic Living.
• Authentic Living: Authentic Living (Pty) Ltd, the company providing the services.
• Services: the leadership coaching, team coaching, facilitation, assessments, consulting, workshops, speaking, retreats or related services described in the quotation.
• Quotation: the proposal, quote or written agreement setting out the scope, timing and fees for the Services.

3. Service engagement

3.1. The Client appoints Authentic Living to provide the Services described in the Quotation.
3.2. Both parties agree to work according to the scope, dates and deliverables recorded in the Quotation.
3.3. Any change to the scope, timing, participants or deliverables must be agreed in writing and may result in additional fees.

4. Client responsibilities

4.1. The Client must provide the information, people, approvals, access and resources reasonably required for Authentic Living to deliver the Services.
4.2. The Client and participants must attend agreed coaching sessions, meetings and workshops and meet agreed deadlines.
4.3. The Client remains responsible for its decisions, actions and implementation. Coaching and facilitation support reflection and action but do not guarantee a particular personal, team or business outcome.

5. Cancellations, changes and refunds

5.1. Unused Services: Services must be used within the period stated in the Quotation. Unused sessions or Services are not refundable unless otherwise agreed in writing.
5.2. Changes by Authentic Living: If Authentic Living needs to cancel or reschedule a session, meeting or workshop, a reasonable alternative date will be offered without an additional professional fee.
5.3. Changes by the Client: If the Client cancels, postpones or delays the Services, fees already paid are not refundable. Any additional costs or work caused by the change may be charged to the Client.
5.4. Individual coaching sessions may be rescheduled (once) without charge if at least 72 hours’ written notice is given. A late cancellation or missed session may be treated as used and charged in full. A team session will be paid
5.5. Nothing in these Terms removes any right that may not legally be excluded under South African consumer law.

6. Fees and payment

6.1. The Client agrees to pay the fees and approved expenses set out in the Quotation.
6.2. Payment must be made according to the schedule in the Quotation. If the Quotation does not state a payment period, invoices are payable within 14 calendar days.
6.3. Late payment may result in Services being delayed or suspended and may attract lawful interest and reasonable recovery costs.
6.4. Unless the Quotation states otherwise, fees exclude VAT, travel, accommodation, venues, catering, assessment licence fees and other third-party costs.

7. Confidentiality and personal information

7.1. Both parties agree to protect confidential information shared during the engagement and not disclose it to another person without permission, except where disclosure is required by law or necessary to prevent serious harm.
7.2. Individual coaching conversations are confidential. Where an organisation sponsors the coaching, attendance, agreed goals or high-level progress may be shared only within the reporting boundaries agreed with the Client and participant.
7.3. Each party will handle personal information in accordance with applicable South African data-protection law, including POPIA. Further information should be included in Authentic Living’s Privacy Policy.

8. Intellectual property

8.1. Authentic Living retains ownership of its frameworks, models, dashboards, methods, assessments, presentations, workbooks, course content and other materials, including Authentic Living and Leading(TM) materials.
8.2. Once all fees are paid, the Client may use the agreed materials internally for the purpose of the engagement.
8.3. The Client may not copy, publish, sell, adapt, train others from or commercially use Authentic Living’s materials without prior written permission. No session may be recorded or transcribed without prior written agreement.

9. Limitation of liability

9.1. To the extent allowed by law, Authentic Living is not liable for indirect, incidental, special or consequential loss arising from the Services.
9.2. Authentic Living’s total liability, whether in contract, delict or otherwise, will not exceed the total professional fees paid by the Client for the affected Services.
9.3. Nothing in these Terms excludes liability that cannot legally be excluded.

10. Termination

10.1. Either party may terminate the agreement by written notice if the other party materially breaches these Terms and does not correct the breach within a reasonable period after receiving written notice.
10.2. When the agreement ends, the Client must pay for all Services delivered and all non-refundable costs committed up to the termination date.
10.3. If the Client ends the engagement early for convenience, Authentic Living may charge a termination fee equal to 50% of the remaining professional fees, subject to applicable law and the terms of the Quotation.

11. Governing law and changes

11.1. These Terms and every engagement are governed by the laws of the Republic of South Africa. Any dispute will be dealt with by the appropriate South African court or other legally required forum.
11.2. Authentic Living may update these Terms. Any material change affecting an active engagement will be communicated to the Client in writing.

12. Entire agreement and contact details

12.1. These Terms and the Quotation form the entire agreement between the parties regarding the Services and replace previous discussions or understandings about the same engagement.
12.2. By engaging Authentic Living, the Client confirms that it has read, understood and accepted these Terms.
